An online purchase agreement is an agreement for the purchase of goods from a website. The purchaser indicates their acceptance of the offer by clicking an “I accept” or similar icon. This is usually placed at the time of checkout from the shopping cart, just before payment details are entered by the purchaser of the goods.
Essential issues to consider to make sure the terms are enforceability include the following:
- the terms must be clearly identified;
- the user has an opportunity to read the terms; and
- the click function unambiguously connotes acceptance of the terms (it is best if your website has a record of the terms being accepted, but all website platforms do not offer this).
Online purchase agreements are equated with signed contracts, meaning that it is not relevant whether the user actually reads, the terms in such circumstances.
